Job Summary: 



A commercially minded Corporate Lawyer with a passion for empowering SMEs. The ideal candidate will provide strategic legal support to structure the business effectively, reduce legal and operational risks, enhance productivity, and boost sales through sound legal frameworks. You will be a key advisor in shaping policies, contracts, and deals that drive sustainable business growth.



Key Responsibilities:




  • Draft and review formation documents (e.g., partnership deeds, articles of association, shareholder agreements).

  • Ensure legal registration and compliance with all statutory bodies.

  • Advise on the optimal legal structure for the business based on growth goals and liabilities.

  • Draft and implement employment contracts, staff policies, and service agreements.

  • Review internal operations to eliminate legal bottlenecks and improve workflow.

  • Guide compliance with labor laws, tax regulations, and operational policies that enhance efficiency.

  • Draft and negotiate contracts with clients, suppliers, contractors, and partners.

  • Create legally sound templates that support day-to-day operations.

  • Ensure contracts are aligned with sales and delivery timelines.

  • Structure and review client agreements, reseller/distributor contracts, and partnership deals.

  • Ensure legal protection for sales incentives, commission structures, and promotional campaigns.

  • Handle intellectual property protection (trademarks, copyrights) that support branding and market expansion.

  • Identify potential legal and regulatory risks and recommend mitigation strategies.

  • Ensure compliance with data protection, advertising standards, and industry-specific regulations.

  • Handle or advise on dispute resolution when necessary.

  • Prepare the company for funding by structuring shareholding, cap tables, and due diligence documentation.

  • Draft and review investor agreements, term sheets, and convertible loan notes.

  •  Support mergers, acquisitions, or strategic partnerships.



Qualifications and Skills:




  • Minimum 2years of experience in corporate law, preferably working with SMEs or startups.

  • LL.B and BL; additional certifications in business or corporate law is an advantage.

  • Strong knowledge of contract law, company law, and compliance frameworks.

  • Proven ability to align legal strategy with business goals.

  • Excellent negotiation, communication, and problem-solving skills.
