Role Summary




  • The Company Secretary will act as a critical advisor to the Board and Chairman, ensuring that corporate governance frameworks are not only compliant but strategically aligned with the Group’s investment ambitions and regulatory obligations.



Key Responsibilities




  • Serve as principal advisor to the Board on governance, fiduciary duties, and regulatory compliance

  • Coordinate Board and Committee meetings, including preparation of agendas, board packs, and minutes

  • Ensure compliance with statutory and regulatory requirements across all business units

  • Maintain corporate records, statutory registers, and filings

  • Guide corporate structuring, investments, and capital market transactions

  • Liaise with regulators, including the Nigerian Exchange Group (NGX) and other relevant authorities

  • Support M&A activities, due diligence processes, and investor relations engagements

  • Monitor changes in legislation and advise on implications for the business

  • Drive corporate governance best practices across subsidiaries



Requirements




  • Minimum of 10–15 years’ experience in Company Secretarial, Legal

  • Strong knowledge of capital markets, corporate finance, and investment structures

  • Deep understanding of Board dynamics, governance frameworks, and regulatory environments

  • Proven experience engaging with regulatory bodies and listed or pre-listed companies

  • Professional qualification (ICSA/CGCS or equivalent) and Law degree preferred

  • Exceptional discretion, judgment, and executive presence
