Job Objectives




  • The Legal and Compliance Officer will support the legal and compliance functions by providing legal guidance, developing and implementing compliance policies, and ensuring compliance with laws and regulations.



Duties & Responsibilities 

Legal:




  • Provide legal guidance on business operations, contracts, and agreements

  • Review and draft contracts, agreements, and other legal documents

  • Manage litigation and disputes.



Compliance:

Develop and implement compliance policies and procedures, including:




  • Data protection policies (NDPA and GDPR)

  • Anti-money laundering (AML) policies

  • Whistleblowing policies

  • Monitor and report compliance with laws and regulations

  • Conduct training and awareness programs

  • Ensure compliance with NDPA and GDPR regulations, including:

  • Data subject requests and complaints

  • Data breach reporting and management

  • Liaise with regulatory bodies (e.g., CAC, NDPC)

  • Obtain necessary licenses and permits



Company Secretarial: 




  • Ensure compliance with Companies and Allied Matters Act (CAMA) and other regulatory requirements

  • Maintain company records and registers

  • Prepare and file statutory returns with CAC



Prepare papers for board and board committee meetings, including:




  • Agendas

  • Meeting papers

  • Take minutes of board and board committee meetings

  • Manage board and committee meetings, including logistics and documentation



Intellectual Property:

Manage the company’s intellectual property assets, including:




  • Trademarks

  • Copyrights

  • Patents

  • Handle registration and maintenance of IP assets with relevant authorities (e.g., Trademark Registry, Copyright Commission)

  • Develop and implement IP protection strategies

  • Any other duties as may be directed by the Company Secretary.



Others:




  • Performs other duties as may be assigned by the Head Legal/ Company Secretary



Requirements

Essential experience & qualifications:




  • LLB or equivalent law degree, BL (Nigerian Law School)

  • 5+ years of experience in legal, company secretarial, or compliance roles

  • Strong knowledge of Nigerian laws and regulations, including NDPA, GDPR, and IP laws

  • Excellent communication and stakeholder management skills

  • Excellent interpersonal skills.

  • Knowledge of applicable regulations and laws.

  • Ability to work independently and in teams.

  • Proficient in MS Office, especially PowerPoint, Excel and Word.

  • Experience of managing or conducting high-impact policy-related research projects

  • Experience of contributing to the development of influencing strategies

  • Project management skills; ability to co-ordinate complex and multiple projects

  • Highly organised and able to develop systems and processes as necessary

  • Able to prioritise and schedule tasks, deal with workload conflicts and deliver to a high standard.
