Job Description
Role Purpose
- The Governance & Regulatory Compliance Manager leads the development and execution of Ikeja Electric's corporate governance, regulatory compliance, sustainability, data protection, and regulatory stakeholder engagement strategy.
- This role carries primary accountability for the organisation's compliance with applicable laws, regulations, industry codes, and corporate governance standards, and acts as a key strategic advisor to Management and the Board on governance, regulatory, and risk matters.
- The incumbent will drive a strong culture of ethical conduct, transparency, accountability, and robust risk management across the organisation, positioning compliance as a strategic enabler of sustainable business performance, not merely a control function.
Role Accountabilities
Regulatory Compliance Management:
- Develop, implement, and maintain the Company's compliance framework to ensure adherence to all applicable laws, regulations, licences, and industry requirements.
- Coordinate the timely preparation and submission of regulatory reports and filings to NERC and other regulatory bodies.
- Monitor regulatory and legislative developments, providing timely guidance to Management on emerging obligations and business impacts.
- Track and coordinate the implementation of regulatory directives, decisions, and compliance actions.
- Conduct compliance reviews, gap assessments, audits, and awareness initiatives to strengthen compliance culture and mitigate regulatory risks.
- Maintain compliance registers, trackers, and supporting documentation for audits, inspections, and regulatory reviews.
Regulatory & Government Relations:
- Build and maintain effective relationships with regulators, government agencies, policymakers, and industry stakeholders.
- Coordinate the Company's participation in regulatory engagements, industry forums, compliance reviews, and legislative hearings.
- Prepare and review presentations, submissions, position papers, briefing notes, and regulatory correspondence.
- Ensure relevant business representatives are adequately prepared and mobilised for regulatory engagements.
- Monitor regulatory trends and advise Management on associated risks, opportunities, and stakeholder expectations.
Corporate Governance Management:
- Develop, implement, and continuously enhance the Company's corporate governance framework in line with governance codes, regulatory requirements, and Board-approved policies.
- Review and update governance policies, standards, and procedures to ensure ongoing effectiveness and compliance.
- Provide governance advisory support to the Board, Management, and business units.
- Coordinate the preparation of governance reports, Board papers, memoranda, and management updates.
- Support departments in the development and review of policies to ensure alignment with governance standards.
- Promote ethical conduct, accountability, and governance awareness through training and engagement initiatives.
Sustainability & Whistleblowing Management:
- Lead the implementation and monitoring of the Company's sustainability and ESG strategy and reporting framework.
- Coordinate sustainability initiatives, monitor ESG performance, and support continuous improvement in environmental and social outcomes.
- Oversee the preparation and publication of sustainability reports and disclosures.
- Administer the whistleblowing programme, ensuring timely escalation, investigation, resolution, and reporting of cases.
- Promote awareness of whistleblowing channels and strengthen the organisation's ethical culture.
Legal Advisory & Business Support:
- Provide legal and regulatory advisory support on power sector regulations, consumer protection matters, industry reforms, and business operations.
- Advise Management on new laws, regulations, directives, and regulatory developments affecting the Company.
- Review and prepare regulatory submissions, legal opinions, stakeholder communications, and position papers.
- Support the resolution of regulatory, customer, and stakeholder complaints and provide legal input on employee disciplinary matters when required.
- Review and support official correspondence and communications across business functions.
Data Protection Management:
- Serve as the Company's Data Protection Officer and oversee compliance with applicable data protection and privacy regulations.
- Develop and maintain data protection policies, procedures, controls, and compliance frameworks.
- Coordinate data protection audits, regulatory filings, and management reporting.
- Conduct Data Protection Impact Assessments (DPIAs) and advise on privacy risks associated with new projects, systems, and processes.
- Manage data subject requests, data breach responses, and privacy-related investigations in accordance with regulatory requirements.
- Deliver data protection training and awareness programmes to strengthen organisational compliance.
Other Responsibilities:
- Prepare departmental reports, work plans, budgets, and performance updates.
- Identify and manage governance, compliance, regulatory, sustainability, and data privacy risks across the organization.
- Drive continuous improvement initiatives to enhance governance effectiveness, compliance performance, and organizational resilience.
- Perform any other duties assigned by the Chief Legal Officer.
Minimum Requirements
- Degree in Finance, Accounting, Business Administration, Management, Law or any social science related field.
- Experience in Corporate Administration & Planning
- Experience in Policy formulation and implementation
- Minimum of 10 years experience with at least 5 years in a comparable role; Legal, Governance and Regulatory Stakeholder experience will be an advantage.
