Position Overview




  • A Legal Officer in Nigeria is responsible for overseeing all legal and regulatory affairs of the organization.

  • This role ensures that the company complies with Nigerian laws and regulations, mitigates legal risks, and provides legal guidance to management.



Key Responsibilities

Legal Compliance & Advisory:




  • Ensure the company complies with all applicable laws, regulations, and corporate governance standards in Nigeria.

  • Provide legal advice to management on contracts, business strategies, and regulatory issues.

  • Stay updated on changes in Nigerian corporate, labor, and industry laws that may impact the company.



Contract Management:




  • Draft, review, and negotiate contracts, agreements, and other legal documents.

  • Ensure all contracts align with the company's interests and mitigate risks.

  • Maintain a database of legal documents and agreements.



Corporate Governance & Regulatory Affairs:




  • Ensure compliance with the Companies and Allied Matters Act (CAMA) and other corporate governance laws.

  • Liaise with regulatory bodies such as the Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other relevant agencies.

  • Manage board meetings, prepare minutes, and oversee corporate filings.



Litigation & Dispute Resolution:




  • Represent the company in legal proceedings, arbitrations, and negotiations.

  • Work with external legal counsel to manage lawsuits, disputes, and claims.

  • Develop strategies to prevent legal disputes and minimize litigation risks.



Risk Management:




  • Identify potential legal risks in business operations and propose mitigation measures.

  • Develop policies and procedures to reduce legal exposure.

  • Conduct internal compliance audits and training sessions for staff.



Intellectual Property & Data Protection:




  • Ensure the protection of company trademarks, patents, and intellectual property.

  • Oversee compliance with data protection laws, including the Nigerian Data Protection Regulation (NDPR).



Employment & Labor Law Compliance:




  • Advise on labour law compliance, employee contracts, and workplace policies.

  • Handle legal issues related to employee relations, disciplinary actions, and terminations.



Qualifications & Requirements




  • Bachelor of Laws (LL.B) from a recognized institution.

  • Call to the Nigerian Bar (B.L) and a valid practising license.

  • 5-10 years of legal experience, preferably in corporate law, commercial law, or regulatory compliance.

  • Strong knowledge of Nigerian business and corporate laws.

  • Experience in contract negotiation, legal drafting, and dispute resolution.

  • Excellent analytical, problem-solving, and communication skills.

  • Ability to work independently and provide sound legal judgment.



Preferred Skills:




  • Experience in regulatory compliance within industries.

  • Understanding of international business law and cross-border transactions.

  • Strong negotiation and stakeholder management skills.
