Representing the company in legal matters such as filing lawsuits or defending against lawsuits filed by shareholders or other third parties
Consulting with management to assist with the formation of new companies, mergers and acquisitions, and other business transactions, including drafting contracts and other documentation
Drafting, reviewing, negotiating, and revising contracts, including non-disclosure agreements, confidentiality agreements, licensing agreements, settlement agreements, and purchase agreements
Drafting organizational documents such as articles of incorporation, bylaws, and partnership agreements
Reviewing and analyzing contracts, leases, deeds, wills, trusts, securities offerings, bonds, and other legal documents to ensure compliance with state laws and regulations
Conducting internal investigations into potential wrongdoing by company employees
Assisting in the development of strategies to manage risk exposure and prevent legal problems from occurring
Preparing legal documents such as summonses, complaints, answers to complaints, motions, orders, and judgments
Evaluate new business partnerships with vendors and subcontractors.
Represent the company in legal proceedings and negotiate deals on behalf of the company.
Design and oversee the company’s policy and position on legal matters.
Protect the company against legal risks and violations.
Examine the legal issues related to new products and services.
Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
REQUIREMENTS
Bachelor’s degree in law.
Minimum of 10 years experience as a corporate lawyer in a reputable organization.
Knowledge of risk management and compliance
Licensed to practice law from the State Bar Association.
Excellent communication skills, both verbally and in writing.
Highly analytical with strong attention to detail.
