Job Description
Objective of Role: To oversee all legal and compliance related areas of the operations of Bank, with a focus on banking and financial regulatory matters, legal & compliance, development of policies, employment and labour, litigation and contracts. Also, Identify legal risks associated with the operations of the Bank and propose mechanisms for mitigating such risks and advise on all legal matters and agreements.
Job Responsibilities
- Evaluation of organisation’s policies, procedures, products and programs to ensure compliance with applicable laws and regulations.
- Advising Board, CEO and Senior Management on all legal and compliance matters affecting the organisation’s operations and governance including legal review and operational decision-making.
- Prepare, review and advice on MOUs, SLAs and all forms of contractual agreements between the bank and other parties.
- Prepare Legal opinions and advice on General Legal issues.
- Provide advice on contentious and non-contentious matters affecting the bank.
- Review, investigate and authenticate securities offered as collateral for credit.
- Supervision of registration and custody of credits securities, property titles and legal documents.
- Preparation for Board meeting documentation and sundry tasks.
- Monitoring of compliance with applicable laws and regulations across the organisation’s operations.
- Negotiation, drafting, reviewing and execution of contracts and agreements on behalf of the organization.
- Consistently liaising with external counsel to file regulatory returns with regulators such as CBN (Central Bank of Nigeria) and NDIC (Nigeria Deposit Insurance Corporation).
- Initiate and reply legal correspondences.
- Represent the Bank in court and work with external solicitors to ensure positive outcome of all cases.
Qualification Requirement
- Bachelor's Degree in Law is required. Master's degree (LL.M) is preferable;
· Must have a minimum of 5 years relevant work experience
- Must have experience in litigation and labor law matters
- Must have experience in Corporate Law;
- Must have experience in a reputable and structured Organization or Financial Institution,
