Job Summary:



  • The Corporate Commercial Lawyer will be responsible for providing legal advice and support on a wide range of corporate and commercial matters.

  • This role requires a strong understanding of corporate law, commercial contracts, mergers and acquisitions, compliance, and risk management.


Key Responsibilities:


Corporate Governance:



  • Advise on corporate governance matters and ensure compliance with corporate policies and statutory regulations.

  • Draft, review, and update corporate governance documents including articles of incorporation, bylaws, and board resolutions.


Commercial Contracts:



  • Draft, review, and negotiate a variety of commercial contracts, including supply agreements, service agreements, NDAs, and partnership agreements.

  • Provide legal support for contract disputes and negotiations.


Mergers and Acquisitions:



  • Provide legal advice and support on mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.

  • Conduct legal due diligence and draft transaction documents.


Compliance and Risk Management:



  • Ensure compliance with applicable laws and regulations, including corporate, commercial, and securities laws.

  • Develop and implement risk management strategies and policies.


Legal Advisory:



  • Provide legal advice to senior management and other departments on a broad range of corporate and commercial matters.

  • Stay updated on relevant legal developments and advise the business accordingly.


Dispute Resolution:



  • Manage and resolve corporate and commercial disputes, including litigation, arbitration, and mediation.

  • Work with external counsel as needed.


Training and Development:



  • Conduct legal training for staff on relevant legal issues and best practices.


Qualifications:



  • Bachelor’s degree in Law or equivalent law degree from an accredited law school.

  • Knowledge of international corporate and commercial laws.

  • Proficiency in legal research tools and software

  • Minimum 5 years of experience in corporate and commercial law, preferably in a corporate or law firm setting.

  • Strong knowledge of corporate law, commercial contracts, M&A, compliance, and risk management.

  • Excellent drafting, negotiation, and communication skills.

  • Ability to work independently and as part of a team.

  • Strong analytical and problem-solving skills.

  • High ethical standards and professional integrity.

  • Proficiency in legal research tools and software.
