We are seeking a highly skilled and experienced Company Secretary/Legal Adviser to join our dynamic team. The ideal incumbent for this position will play a crucial role in ensuring the company’s compliance with legal and regulatory requirements, providing sound legal advice, and managing corporate governance matters. This role is integral to our operations, and is expected to provide strategic support to Top Management and the Board of Directors. 


Key Responsibilities:



  • Corporate Governance:

    • Ensure the company complies with statutory and regulatory requirements.

    • Organize and prepare agendas and minutes for board meetings, annual/monthly general meetings, and other corporate meetings.

    • Maintain and update the company’s statutory books and records.



  • Legal Advisory:

    • Provide expert legal advice on a wide range of corporate and commercial matters, including contracts, mergers and acquisitions, intellectual property, and regulatory compliance.

    • Draft, review, and negotiate contracts and other legal documents to safeguard the company’s interests.

    • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.



  • Risk Management:

    • Identify potential legal risks and develop strategies to mitigate them.

    • Ensure that appropriate policies are in place and that they are adhered to across the organization.

    • Handle disputes, litigation, and arbitration matters in collaboration with external legal counsel as necessary.



  • Compliance:

    • Oversee the company’s compliance with corporate governance practices and regulations.

    • Ensure the company adheres to industry standards, including health, safety, and environmental regulations, particularly in the energy and engineering sectors.



  • Stakeholder Engagement:

    • Liaise with external regulators, advisers, and other stakeholders, ensuring that the company’s interests are protected.

    • Maintain effective communication channels between the board, management, and other stakeholders.



  • Strategic Support:

    • Advise the Board and Top Management on legal implications of business strategies and corporate actions.

    • Contribute to the development of corporate policies and procedures to ensure legal compliance and strategic alignment.




Qualifications:



  • Education:

    • A Bachelor’s degree in Law (LL.B.) is required; a Master’s degree or relevant professional qualifications (e.g., ICSA, ICSAN, MBA) would be an advantage.

    • Academic and Professional Exposure in Oil & Gas Management, Green Energy, Local Content Advisory, or Renewable Energy is desirable.  

    • Graduates from the Centre for Petroleum, Energy Economics, and Law of the University of Ibadan or any reputable institution are also encouraged to apply.



  • Experience:

    • Minimum of 10-15 years of experience in a legal or corporate governance role, preferably within the Engineering Technology, Energy, Power, Infrastructure, Manufacturing, Mining, Oil and Gas sectors or other allied industries.



  • Skills:

    • Strong knowledge of corporate law, contract law, and regulatory compliance, local content compliance consultancy, energy law and economics, energy research, training and advocacy.

    • Excellent communication, negotiation, and interpersonal skills.

    • High level of integrity, confidentiality, and ethical conduct.

    • Ability to manage multiple tasks and meet deadlines in a fast-paced environment.

    • Strong analytical and problem-solving abilities.

    • Ability to write world-class report, proposals, and publish insights on newsletters
