We are seeking an experienced and highly skilled Legal Counsel/Company Secretary to join our client’s dynamic team. The successful candidate will play a crucial role in providing comprehensive legal support, with a strong focus on commercial upstream oil and gas transactions. The ideal candidate will also manage company secretariat duties, ensuring compliance with statutory and regulatory requirements.


Key Responsibilities:



  • Legal Advisory: Provide expert legal advice on a wide range of issues, particularly focusing on commercial transactions within the upstream oil and gas sector.

  • Contract Management: Draft, review and negotiate contracts and agreements, ensuring they align with the client's business objectives and legal standards.

  • Regulatory Compliance: Ensure the organization complies with all legal and regulatory requirements, particularly in relation to the oil and gas industry.

  • Dispute Resolution: Handle disputes, litigation and arbitration matters as required, working closely with the legal team where necessary.

  • Company Secretarial Duties:

    • Organize and prepare agendas for board meetings and annual general meetings (AGMs), including the documentation and circulation of minutes.

    • Maintain statutory books and records, including registers of members, directors, and secretaries.

    • Ensure the company adheres to corporate governance standards, providing guidance on the management of the company’s affairs.



  • Legal Research: Stay updated on relevant legal developments, particularly in oil and gas law, to provide proactive advice and support.

  • Risk Management: Identify and mitigate legal risks associated with business operations and transactions.


Qualifications and Experience:


Academic Qualifications:



  • Bachelor of Laws (LLB) and Barrister at Law (BL) are essential.

  • A Master of Laws (LLM) or an MBA


Professional Experience:



  • A minimum of 10 years of work experience, with a very strong background in commercial upstream oil and gas transactions.

  • Proven experience in company secretariat duties is essential.

  • Strong analytical and problem-solving skills with the ability to provide practical legal solutions.

  • Excellent communication and interpersonal skills, capable of working effectively with various stakeholders.

  • High level of integrity, professionalism, and attention to detail.
